Deal Advisory

We advise companies, investors and lenders on cross-border transactions, from first structure to closing. Our founding partner worked at Allen & Overy and Latham & Watkins and was a partner at Akin Gump and KPMG, with more than 25 years and over 100 M&A, financing, capital markets and private equity deals. We bring that experience to the client’s side of the table: shaping the deal and its tax position, running the process, and working alongside the client’s counsel in each jurisdiction. Clients usually bring us in early, before the banks and law firms are appointed, or when several advisers need to be run as one team.

M&A and Private Equity

Acquisitions, disposals, buyouts, minority investments, joint ventures and exits. We help set the structure and key terms, scope legal and tax due diligence, prepare the negotiation of the purchase and shareholder agreements, and keep the closing on track. For funds and co-investors, we cover investment and exit mechanics, including how returns are taxed on the way out, as well as governance.

Financings and Capital Markets

Bank and syndicated loans, private placements, mezzanine, and project and asset finance, including the EPC and project documents behind them. Having sat on both sides, lender and borrower, issuer and arranger, we help clients negotiate terms that fit their business, not only the other side’s form, from covenants to withholding tax and gross-up. On bond issues and IPOs we don’t replace the banks and law firms: we prepare the issuer, help select and brief the advisers, and keep terms and fees in check.

Cross-Border Structuring

Holding, investment and joint venture structures across several jurisdictions, built for tax efficiency, treaty access and a clean exit as well as control. We build sanctions and export-control screening into the structure from the start, and coordinate local counsel and tax advisers so the client deals with one team that sees the whole picture.

Deal Management

Complex transactions fail on process as often as on terms. We run multi-adviser deals: issues lists, timetables, counsel instructions and legal budgets. When a transaction goes wrong, we work with litigation or arbitration counsel on strategy and settlement options, so the commercial view stays in the room.
